MGT 639 Global Corporate Governance

Course Description: In analyzing and comparing different corporate governance systems around the world, strong consideration is given to the historical evolution of political and social-economic systems and how this has affected the specific rules and regulations of the private corporation in each country. This course will examine the dramatic differences between countries utilizing the agency theory approach and those governance systems is based on stakeholder rights as codified in national law. Specific attention is paid to the role of the Board of Directors in establishing internal processes to meet the compliance standards of various government organizations.
